End User License Agreement
End User License Agreement (EULA)
By Type Forward
EULA Version: 2.0
EULA Last Updated: 25-March-2026
1. Parties & Agreement
Licensor: Spacetype OOD, trading as Type Forward (“Type Forward” or “Licensor”), owner of the Font Software. Located in Sofia, Bulgaria. The Licensor possesses the full right and authority to grant this license.
Licensee: The individual, company, organization, or legal entity identified as the Licensee in the License Details section of this Agreement.
If this license is procured by one party on behalf of another person or entity (the intended end-user), the intended end-user’s full legal name must be specified as the Licensee in the License Details section. The license rights are granted solely to the named Licensee, responsible for complying with this EULA.
Agreement: This End User License Agreement (“EULA” or “Agreement”) governs the use of the Font Software specified below. It becomes effective on the Effective Date specified in the License Details section. By purchasing, downloading, installing, or using the Font Software, the Licensee agrees to all terms and conditions herein. This license is granted conditional upon fulfilling the specific terms under which it was acquired (e.g., payment of the applicable license fee for purchased licenses, or mutual agreement for licenses granted via other means as documented by the Licensor).
2. Definitions
2.1. Core Agreement Terms:
The Agreement
Agreement (or EULA): This End User License Agreement document.
Effective Date: The date the Licensee enters into this Agreement, as specified in the License Details section. The Agreement becomes effective upon the earlier of the Licensee’s payment of the license fee or their first download, installation, or use of the Font Software.
The Parties
Licensee: The individual, company, organization, or legal entity identified as the Licensee in the License Details section of this Agreement.
Licensor: Type Forward (Spacetype OOD), the exclusive owner of the copyright and intellectual property rights in the Font Software.
Third Party: Any individual or legal entity other than the Licensee or Licensor, including authorized contractors, printers, developers, service bureaus, etc, by the Licensee.
The Product
Derivative Work: Any modification, adaptation, translation, or creation based upon the Font Software file itself, including converting its file format. (Note: Creating vector outlines from the font’s glyphs for design purposes, such as in a logo, is a permitted use under the Desktop License and is not considered the creation of a Derivative Work).
Font Software: The digital typeface software files (in formats such as OTF, TTF, WOFF, WOFF2) designed and copyrighted by Type Forward, including any updates or new versions provided under this Agreement.
2.2. License-Specific Terms:
App License
Application (App License): A software application (e.g., mobile app, desktop software) developed by or for the Licensee, identified by the specific title listed in the License Details section.
Monthly Active Users (App License): The peak number of unique individual users who open and interact with the Application Title during a calendar month. This metric must be tracked using a recognized, industry-standard mobile or software analytics platform (e.g., Apple App Store Analytics, Google Play Console, Firebase, Mixpanel). The Licensee must provide accurate MAU reports from their chosen platform upon request by the Licensor for verification and audit purposes.
Broadcasting License
Broadcast Content (Broadcasting License): Audiovisual works, including but not limited to television programs, films, documentaries, streaming service original content, intended for public exhibition via broadcast, cable, satellite, cinema, or online streaming platforms.
Broadcasting License Term: The period for which the Broadcasting License grant is valid, as specified in the License Details section. If specified as perpetual for a specific Licensed Broadcast Content, it remains valid indefinitely for that content only within the terms of this license.
Broadcasting Territory: The geographic region(s) within which the Licensed Broadcast Content incorporating the Font Software is permitted to be exhibited or distributed, as specified in the License Details section.
Desktop License
User (Desktop License): The single designated individual (an employee or authorized contractor of the Licensee) who is permitted to install, access, and use the Font Software.
Digital Advertisement License
Digital Advertisement: An advertisement created using the Font Software, displayed digitally (e.g., web banners).
Impressions (Digital Ad License): A single instance of a Digital Advertisement being displayed. The Licensee must be prepared to provide reports from their ad serving platform(s) upon request by the Licensor for verification purposes.
Electronic Publication License
Electronic Publication (Electronic Publication License):
A digital document (e.g., eBook, eMagazine, interactive PDF) intended for distribution or sale. Each distinct title or issue counts as one Electronic Publication. Free updates provided to existing purchasers do not require a new license, but new editions that require a separate purchase do. Minor regional or file format variations of the same core publication do not count as separate publications.
Server License
Development Server (Server License): A server used exclusively for internal development, testing, staging, or quality assurance purposes related to the licensed server application, and not used for live production output or accessible to end-users for generating final materials.
Production Server (Server License): A server, whether physical or virtual, that is accessible to end-users (directly or indirectly via an application or website) or used for live, automated operations enabling the generation of documents or items incorporating the Font Software.
Server License Term: The period for which the Server License grant is valid, as specified in the License Details section. Use of the Font Software under the Server License requires a current, unexpired Server License Term, typically maintained through annual renewals.
Web License
Website: All domain names that share the common Licensed Domain Root specified in the License Details section. A Web License covers the Licensed Domain Root across multiple top-level domains (TLDs), such as .com, .net, and country codes like .bg and all subdomains thereof. For example, a license for the Domain Root ‘yourdomain’ covers yourdomain.com, yourdomain.net, blog.yourdomain.com, and shop.yourdomain.bg. The license does not cover websites with a different Domain Root, such as ‘otherdomain.com’.
Pageviews per month (Web License): The aggregated total of monthly pageviews from all licensed domain names and subdomains on which the Font Software is actually used (i.e., embedded via the CSS @font-face rule). Pageviews from licensed domains or subdomains where the Font Software is not used do not need to be included in this total. The total must be measured using a recognized, industry-standard website analytics platform, such as Google Analytics (using the standard ‘Pageviews’ metric), Matomo, Plausible, Fathom, Adobe Analytics, or an equivalent platform capable of accurately tracking page loads. The Licensee must be prepared to provide reports from their chosen platform upon request by the Licensor for verification purposes.
2.3. Usage & Status Terms:
Types of Use
Commercial Use: Any use of the Font Software that is not strictly Non-Commercial Use or Personal Use (as applicable under specific license grants). Commercial Use includes, but is not limited to:
- Use in advertising, marketing, branding, or promotional materials for any business, product, or service.
- Use on or in connection with any product, service, or content sold, licensed, or that generates revenue (e.g., merchandise, publications, paid apps, templates for sale).
- Use for corporate identity, logos, letterheads, presentations, or other materials for a business or organization (including non-profits’ general operations outside of a specifically licensed Non-Profit Campaign).
- Use in any project undertaken for a client, whether paid or unpaid.
- Use on a website or application that generates revenue (e.g., through sales, advertising, subscriptions, or other services).
- Any other use intended to directly or indirectly result in financial gain, promote a commercial entity, or facilitate business operations.
Non-Commercial Use: Use of the Font Software that does not involve any direct or indirect commercial purpose, financial gain, or promotion of a business, product, or service. Examples include personal projects not intended for sale or client work, academic coursework, or internal evaluation. Use that involves advertising, selling products/services, client work (paid or unpaid), promoting a commercial entity, or incorporating the Font Software into a product intended for sale is considered Commercial Use and is prohibited under licenses restricted to Non-Commercial Use.
Personal Use: Use of the Font Software by an individual licensee strictly for their own private learning, experimentation, or Non-Commercial Use projects that are not intended for public distribution or any business or organizational purpose (including non-profit organizational work, unless explicitly permitted under a Non-Profit Campaign License).
Special Licenses & Status
Academic License: A specific type of license granted in Section 12, offered temporarily to verified Students, Faculty, or Academic Institutions for strictly non-commercial educational purposes.
Non-Profit Campaign License: A specific type of license grant detailed in this Agreement, offered to verified Non-Profit Organizations for use strictly limited to a particular campaign or cause explicitly identified in the License Details section and endorsed by the Licensor.
Non-Profit Organization (NPO): An entity that is legally registered and recognized as a non-profit, charitable, educational, religious, or public benefit organization under the laws of its jurisdiction (e.g., registered as a Non-Profit Legal Entity / ЮЛНЦ under Bulgarian law, or holding equivalent status like 501(c)(3) in the US). The entity’s primary purpose must not be commercial. The Licensor may require proof of NPO status (e.g., registration documents) to qualify for a Non-Profit Campaign License.
Trial License: A specific type of license grant detailed in Section 11, offered to any user for temporary, internal evaluation and testing purposes only.
3. General Terms & Conditions
Grant:
Subject to the terms herein and fulfillment of the conditions specified in Section 1 under ‘Agreement’, the Licensor grants the Licensee a non-exclusive, non-transferable (except as provided under ‘License Transfer’), worldwide, perpetual (unless a specific limited Term is specified for a particular License Type in its corresponding section, e.g., Server License, Broadcasting License) (subject also to scope limitations like monthly visitors or impressions where applicable), to use the Font Software strictly as defined by the License Type(s) granted in the License Details section and detailed in Sections 4 through 10.
Intellectual Property:
All rights, title, interest, copyright, and other intellectual property rights in the Font Software remain the exclusive property of the Licensor – Type Forward. Using the Font Software does not grant the Licensee any ownership or intellectual property rights. The Licensee may use the Font Software to create original works (e.g., logos, documents) according to the permitted uses of their license(s). The Licensee may trademark logos or designs created using the Font Software, provided the trademark applies to the original design elements created by the Licensee, not the Font Software itself.
Restrictions:
The Licensee MAY NOT perform any of the following actions, unless explicitly permitted in a separate written agreement signed by an authorized representative of the Licensor. Absent such an agreement, these restrictions are absolute:
- Distribute, sell, resell, rent, lease, sublicense, lend, or give away the Font Software in any shape or form or copies thereof.
- Upload the Font Software to any public server or third-party web-based application that allows unlicensed users to access or use the font.
- Modify, adapt, translate, reverse engineer, decompile, disassemble, alter, or create Derivative Works in any shape or form based on the Font Software files themselves. (Note: Converting file formats, e.g., OTF to WOFF, is considered a modification. Creating vector outlines from glyphs is a permitted design use under the Desktop License).
- Use the Font Software in any way not explicitly permitted by the purchased or owned License Type(s).
- Embed the Font Software into hardware or software products where end-users can extract or use the font directly for their own purposes (e.g., themes for resale, web-based design tools allowing font selection), unless a specific embedding or OEM license is acquired.
Backup Copies:
The Licensee may make a reasonable number of backup copies of the Font Software for archival purposes only. These backup copies must not be used for any purpose other than restoring the original installation and are subject to all terms of this Agreement.
Third-Party Use:
You may temporarily provide the Font Software to a third party (e.g., a printer, developer, or designer) working exclusively on your behalf. You must inform them of these EULA restrictions and ensure they delete all copies of the font when the project is complete. You remain solely responsible and liable for any breach of this Agreement by any third party you share the font with.
Updates & Upgrades:
We may occasionally release updates or new versions of the Font Software (for example, adding new glyphs, expanding language support, or technical fixes). We are not legally obligated to notify you when these updates occur. However, you can access the latest version of any font you have licensed at any time by simply re-downloading your order from your secure account Vault. Our system automatically checks for the newest version and will continuously provide you with the most current files available on our platform.
Note on Scope Upgrades: If your usage exceeds the scope defined in your License Details (e.g., more Desktop Users, higher Web traffic, increased Monthly Active Users for an Application), you must contact the Licensor at hello@typeforward.com to purchase an appropriate license upgrade before exceeding the limits. Continued use beyond the purchased scope constitutes a breach of this Agreement.
Warranty:
We guarantee the Font Software will perform substantially as described on our website for thirty (30) days after the Effective Date. If it doesn’t, contact us with proof of purchase. We will make reasonable commercial efforts to fix the issue. If we cannot fix it within fifty (50) working days, you may terminate the license for that specific font and request a refund.
Beyond 30 days, we offer basic email technical support for installation and intended use as a courtesy, though we do not guarantee fixes for issues caused by third-party software or hardware. All other warranties, express or implied, are disclaimed to the maximum extent permitted by law.
License Scope Adjustments:
The license scope (e.g., number of Desktop Users, Website Monthly Pageviews, Ad Impressions, Monthly Active Users (MAU) for a single App, Publication Titles, Broadcasting Scope, or number of Servers) is defined at the time of purchase or subsequent upgrade. While licenses must be upgraded pursuant to the ‘Updates & Upgrades’ terms if usage exceeds the licensed scope, purchased license scopes cannot be subsequently reduced (‘downsized’ or ‘downgraded’). The Licensee is not entitled to any refund, credit, or fee adjustment if their actual usage is lower than the licensed scope.
Refunds & Right of Withdrawal:
By purchasing and downloading the Font Software, you consent to immediate access to the digital files and acknowledge that you waive your 14-day right of withdrawal. Because of the nature of digital goods, all sales of working Font Software are final. We do not offer returns or refunds for completed purchases unless the Font Software is defective, as outlined in the Warranty section.
Termination:
The Licensor reserves the right to terminate this Agreement immediately upon written notice if the Licensee breaches any material term or condition.
Upon such termination, the Licensee must immediately cease all use of the Font Software and destroy all copies in their possession or control, including backup copies and copies held by Third Parties. The Licensee must provide written certification of destruction upon request.
Termination does not relieve the Licensee of obligations incurred prior to termination, including payment obligations or liability for breaches. Clauses regarding Intellectual Property, Restrictions, Limitation of Liability, Indemnification, and Governing Law shall survive termination.
License Transfer:
This license is granted solely to the Licensee identified in Section 1. Academic Licenses granted to individuals (Students and Faculty) under Section 12 are strictly non-transferable. For all other license types granted under this Agreement, the license is non-transferable, except in the limited case of a merger, acquisition, or consolidation involving the entire Licensee entity. In such an event, the Licensee (or its successor entity) MUST contact the Licensor in writing at hello@typeforward.com prior to any transfer to request assignment of the license to the new entity. For Non-Profit Campaign Licenses (Section 13), any such transfer request is further conditioned upon the specific Licensed Campaign/Cause continuing under the successor entity. The Licensor reserves the right, at its sole discretion, to approve or deny any transfer request, or to grant approval subject to conditions (which may include an administrative fee). Use of the Font Software by an unapproved successor entity, or any other attempted transfer, constitutes a breach of this Agreement.
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) THE LICENSEE’S ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE FONT SOFTWARE; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY RELATING TO THE FONT SOFTWARE. IN NO EVENT SHALL THE LICENSOR’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE FONT SOFTWARE EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE FONT SOFTWARE LICENSE UNDER THIS AGREEMENT.
Indemnification:
The Licensee agrees to indemnify, defend, and hold harmless the Licensor and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the Licensee’s use of the Font Software in violation of this Agreement or any applicable law or regulation, or infringement of any Third Party rights.
Audit:
Upon reasonable notice (at least 10 business days), the Licensor or its authorized representative shall have the right to inspect the Licensee’s records, systems, and facilities during normal business hours to verify compliance with the terms of this Agreement. Any such audit shall be conducted in a manner that minimizes disruption to the Licensee’s business operations. If an audit reveals non-compliance exceeding 5% of the licensed scope, the Licensee shall promptly pay for the additional licenses required and reimburse the Licensor for the costs of the audit.
Governing Law & Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Sofia, Bulgaria.
Entire Agreement:
This EULA constitutes the entire agreement between the Licensee and the Licensor concerning the Font Software. It supersedes all prior or contemporaneous agreements, understandings, negotiations, and verbal or written discussions. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
Severability:
If any provision of this EULA is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Periodic Compliance Confirmation:
Upon written request from the Licensor, not more frequently than once per calendar year per license type, the Licensee agrees to provide, within thirty (30) days, a written certification signed by an authorized representative confirming that its use of the Font Software during the preceding period (e.g., twelve months) has remained within the scope limitations outlined in the License Details section and any applicable upgrades.
Handling of Usage Estimates for Scoped Licenses:
Where a license scope is defined by usage metrics (such as Pageviews per month for Web Licenses, Impressions per year for Digital Ad Licenses, or Monthly Active Users for App Licenses) and the license is acquired based on a reasonable, good-faith estimate provided by the Licensee prior to actual usage measurement (e.g., for pre-launch websites or pre-campaign analysis), the following applies:
- The initial licensed limit specified in the License Details section is based on this estimate.
- The Licensee is responsible for actively monitoring the actual usage metrics using the methods specified or implied in the relevant license section (e.g., the methods defined in Section 2 for Pageviews, ad serving platforms for Impressions) from the commencement of actual usage.
- If actual usage consistently exceeds, or is reasonably projected to exceed, the licensed limit specified in the License Details section during the applicable measurement period (e.g., calendar month for Pageviews, license year for Impressions), the Licensee MUST contact the Licensor at hello@typeforward.com promptly (generally within 30 days of the end of the first relevant measurement period where the limit was exceeded or projected to be exceeded) to purchase an appropriate license upgrade or additional usage packs.
- Continued use beyond the licensed limit without securing a necessary upgrade constitutes a breach of this Agreement, as per Section 3 (‘Updates & Upgrades’).
4. Desktop License Terms
Provided Formats: [OTF, TTF]
License Grant and Users:
This license is granted to a specific number of Users. A licensed User may install, access, and use the Font Software on multiple workstations (e.g., a desktop and a laptop computer), provided the Font Software is used only by the licensed User. The total number of individuals using the Font Software must never exceed the number of Users specified in the License Details section.
Permitted Use:
The Desktop License grants the right to use the Font Software for the following purposes:
- Static Content Creation: You may use the Font Software to create static content such as documents, presentations, reports, print materials, logos, and signage. This includes creating static image files (e.g., JPEG, PNG, SVG) for use on a website, as well as designing website mockups or visual prototypes in desktop applications like Figma, Sketch, or Adobe XD.
- Merchandise (Static Designs Only): You may create static graphics, logos, or wordmarks for use on physical or digital merchandise items intended for sale or distribution (e.g., t-shirts, mugs, posters, social media templates), provided that these items constitute static, finished designs.
- Important Limitation: This license explicitly prohibits the use of the Font Software in any product, service, or platform that allows a third party or end-user to individually customize a product or create their own variable designs using the Font Software. Such uses (including but not limited to customizable templates for sale, ‘print-on-demand’ services with a user-design component, or website design tools) require a separate, specific license from the Licensor.
- Secure Document Embedding: You may embed the Font Software into electronic documents (e.g., PDF, PostScript files), provided the embedding is configured as ‘preview and print’ only. The Font Software must be subsetted and embedded securely to prevent the recipient from extracting it or using it to edit the document.
- Video and Motion Graphics: You may use the Font Software to create graphics rendered into video files, such as title sequences, opening/closing credits, lower thirds, or captions. This covers typical web content, social media (YouTube, Instagram, etc.), online ads, and corporate videos.
- Exception: A separate Broadcasting License is required for large-scale productions intended for theatrical release, traditional television broadcast, or major commercial streaming platforms (e.g., Netflix Originals) (see Section 9).
- Vector Artwork: You may convert font outlines to vector paths (e.g., for logo design) and modify them. These resulting graphics and video files can then be used across various media as needed.
Reassignment of User:
If the Licensee is an organization, it may reassign a licensed User seat to another User within the same organization. Upon reassignment, the former User must immediately cease all use of the Font Software and certify that they have deleted all copies of the Font Software files from their workstations.
Restrictions:
This license is strictly for desktop use and does not permit embedding the font files for uses that require a separate license, such as:
- Web Use: Embedding the font files to display live text on the website you designed, which requires a Web License.
- App Use: Embedding the font files into the mobile or desktop application you are creating mockups for, which requires an App License.
- Digital Ad Use: Embedding the font files into dynamic or interactive ads for the campaign you are designing assets for, which requires a Digital Ad License.
- Electronic Publication Use: Embedding the font files into the final e-book or e-magazine you are laying out, which requires an Electronic Publication License.
- Broadcasting Use: Use within the final cut of a large-scale film or television production, which requires a Broadcasting License.
- Server Use: Installing the font files on a server to power a web application or product customization service, which requires a Server License. Use on a secure internal server by licensed users requires specific confirmation from the Licensor.
5. Web License Terms
Provided Formats: [WOFF, WOFF2]
Permitted Use:
Allows embedding the Font Software into the code of the Website(s) specified by the Licensed Domain Root in the License Details section (and all subdomains/TLDs thereof) using the CSS @font-face rule, for styling HTML text. The license scope is limited by the total Pageviews per month from all domains/subdomains on which the font is used. Font files must be hosted securely on servers owned or controlled by the Licensee or their hosting provider to prevent direct download or hotlinking.
(Note: For licenses acquired based on estimated usage, refer to Section 3 ‘Handling of Usage Estimates for Scoped Licenses’ for specific requirements.)
Development and Staging:
The Font Software may be used on non-public development and staging servers for the purpose of testing and building the licensed Website(s). (Use of our free Trial Fonts for this purpose is also permitted under the terms of the Trial License). Pageviews generated in these non-public environments do not count toward the monthly pageview limit.
Draft Websites:
If you indicate at checkout that your website is a draft without a final domain, your initial license will reflect this status. You must contact us at hello@typeforward.com to provide the final Licensed Domain Root before the website is published or goes live to the public. The Font Software may not be used on a live, public website until your license is updated with the correct domain.
Restrictions:
This license is strictly for using the Font Software as a webfont to style the content on the Licensee’s own websites. It does not grant the rights for other uses that require a different license type. Prohibited uses include, but are not limited to:
- Desktop Use: Installing the font files on a desktop computer to create static images, logos, mockups, or other documents (e.g., in Figma or Adobe Photoshop) for your website, which requires a Desktop License.
- App Use: Developing a companion mobile, desktop, or video game application for your website, which requires an App License.
- Digital Ad Use: Embedding the font files in dynamic or interactive banner ads, which requires a Digital Ad License.
- Electronic Publication Use: Compiling your website’s articles into a distributable e-book, e-magazine, or other digital publication for distribution, which requires an Electronic Publication License.
- Broadcasting Use: Producing a TV show or feature film based on your website’s content, which require a Broadcasting License.
- Server Use / Web Applications: Using the font files to power a web-based tool on your site that allows end-users to create customized designs or products requires a Server License.
Furthermore, use is strictly limited to the Licensed Domain Root specified in the License Details section. If the monthly pageview limit is exceeded, a higher pageview tier must be purchased.
6. Digital Advertisement License Terms (Digital Ads)
Provided Formats: [WOFF, WOFF2, OTF, TTF]
Permitted Use:
This license covers the embedding of Font Software within dynamic or interactive digital ad formats (such as HTML5). The creation of static image advertisements (e.g., JPEG, PNG, GIF banners) using the Font Software falls under the scope of the Desktop License (Section 4). The license scope is limited by the maximum number of Impressions specified in the License Details section, calculated over a 12-month period from the Effective Date. Fonts may be provided to third-party ad agencies or embedded into ad creation platforms solely for producing the Licensee’s ads.
(Note: For licenses acquired based on estimated usage, refer to Section 3 ‘Handling of Usage Estimates for Scoped Licenses’ for specific requirements.)
Restrictions:
This is an annual, term-based license, strictly for embedding the Font Software within dynamic digital advertisements. It does not grant the rights for other uses that require a different license type. Prohibited uses include, but are not limited to:
- Desktop Use: Creating static image ads, video ads, or other general marketing materials for the campaign, which requires a Desktop License.
- Web Use: Using the font on the campaign’s landing page or the main company website, which requires a Web License.
- App Use: Embedding the font files within a companion mobile app for the advertising campaign, which requires an App License.
- Electronic Publication Use: Creating a downloadable brochure or interactive PDF about the advertised product, which requires an Electronic Publication License.
- Broadcasting Use: Airing a television commercial as part of the campaign, which requires a Desktop License for creation and potentially a Broadcasting License depending on scope.
- Server Use: Installing the font files on a server to allow end-users to personalize a product as part of the ad experience, which requires a Server License.
Furthermore, the use of the Font Software requires a current, unexpired license term. If the annual impression limit is exceeded, the purchase of additional impression packs is required. A license renewal is necessary to continue use after the 12-month term expires.
7. App License Terms
Provided Formats: [OTF, TTF, WOFF, WOFF2]
Permitted Use:
Allows embedding the Font Software files directly into the code of a single, specified Application Title (including its regional and platform variations, such as iOS, Android, and desktop versions of the exact same application). This license is granted based on the peak unique Monthly Active Users for that specific Application Title, as specified in the License Details section at checkout. Font files must be securely embedded to prevent extraction by end-users.
Scope of an Application Title:
The license tier is determined by the peak number of users accessing the specific Application Title in any given month. If the unique Monthly Active Users exceeds the licensed limit, an upgrade to the next license tier is required. Separate Application Titles (e.g., sequels, different games, or distinct software products) require the purchase of separate App Licenses.
Draft Applications: If you indicate at checkout that your application is a draft without a final title, your initial license will reflect this status. You must contact us at hello@typeforward.com to provide the final Application Title before the app is published or goes live to the public. The Font Software may not be used in a live, publicly available application until your license is updated with the correct title.
Restrictions:
Use is strictly limited to embedding the Font Software within the code of the designated Application(s). The Application must not allow end-users to use the Font Software to create their own content, nor may the font be embedded in data files (like PDFs) generated by the Application.
Furthermore, this license does not grant the rights for other uses that require a different license type. Prohibited uses include, but are not limited to:
- Desktop Use: Creating promotional images, videos, or a website mockup to market your app, which requires a Desktop License.
- Web Use: Building a promotional website or landing page for your app, which requires a Web License.
- Digital Ad Use: Running a dynamic ad campaign to drive downloads for your app, which requires a Digital Ad License.
- Electronic Publication Use: Creating a digital instruction manual or art book for your game, which requires an Electronic Publication License.
- Broadcasting Use: Producing a television commercial or cinematic trailer for your video game, which requires a Broadcasting License.
- Server Use: Using a server to allow users to customize items or generate documents from within your app, which requires a Server License.
8. Electronic Publication License Terms
Provided Formats: [OTF, TTF]
Permitted Use:
Allows embedding the Font Software files directly into the specified number of distinct Electronic Publication title(s)/issue(s) listed in the License Details section. This license covers unlimited distribution (downloads/copies) of the resulting Electronic Publication file (e.g., EPUB, KF8, or PDF for consumption). The Font Software must be securely embedded to prevent end-user extraction. This license is required for the main body text and content of the publication. (Note: Creating cover artwork and promotional materials requires a separate Desktop License, as detailed in the Restrictions below.)
Restrictions:
This license is strictly for embedding the Font Software within the main content of the specified Electronic Publication(s). Creating cover artwork or promotional static images for the publication is not permitted and requires a separate Desktop License. However, incidental use of the Font Software within a publication layout tool (e.g., Adobe InDesign) for the sole purpose of creating the licensed publication itself is permitted.
Furthermore, this license does not grant the rights for other uses that require a different license type. Prohibited uses include, but are not limited to:
- Web Use: Building an author website or a promotional site to sell your e-book, which requires a Web License.
- App Use: Developing an interactive app version of your publication, which requires an App License.
- Digital Ad Use: Running a dynamic ad campaign to promote your e-book, which requires a Digital Ad License.
- Broadcasting Use: Adapting your e-book into a screenplay for a TV series or film, which requires a Broadcasting License.
- Server Use: Allowing users to generate customized excerpts or covers for your e-book via a website, which requires a Server License.
Embedding is limited to the number of distinct publication titles/issues specified in the License Details section. Each new title or separately sold issue requires an additional license or license upgrade. The Font Software files themselves may not be distributed as standalone files.
9. Broadcasting License Terms
Provided Formats: [OTF, TTF]
Term & Territory:
This Broadcasting License is granted solely for use within the specified Licensed Broadcast Content/Scope, during the Broadcasting License Term, and within the Broadcasting Territory, all as specified in the License Details section. If the Broadcasting License Term is not perpetual, any rights granted under this Section 9 expire upon the end of the specified term, unless a renewal or extension is obtained from the Licensor. Use outside the specified Licensed Broadcast Content/Scope or Broadcasting Territory is strictly prohibited.
Permitted Use:
This Broadcasting License is specifically required for using the Font Software within large-scale, distinct audiovisual productions characterized by their intended distribution method and commercial scale. This typically includes:
- Feature films intended for theatrical release.
- Television series, programs, or documentaries produced for traditional broadcast, cable, or satellite networks.
- Original content commissioned by and exclusively for major commercial streaming platforms (e.g., Netflix Originals, Disney+ Originals, Amazon Prime Video Originals, etc.).
These types of productions generally involve significant commercial agreements or wide distribution strategies and require the specific content/scope (“Licensed Broadcast Content/Scope”), distribution territory, and term to be defined in the License Details section. For creating text graphics for other types of video content – including general online videos uploaded to platforms like YouTube or Vimeo (even those achieving large viewership), standard corporate or marketing videos, educational videos, and social media content – the Desktop License (Section 4) is the appropriate license.
Subject to the note above, this license allows the use and integration of the Font Software solely within the audiovisual stream of the specific Licensed Broadcast Content/Scope identified in the License Details section. This includes use for on-screen text elements such as main titles, end credits, cast/character introductions, lower thirds, informational graphics, news tickers, rendered subtitles, location identifiers, and other text appearing visually within the program itself during playback, including in-program promotional segments for future episodes (e.g., “Next time on…”) that are part of the same audiovisual stream. The Licensed Broadcast Content may be exhibited or distributed via broadcast, cable, satellite, cinema, or online streaming platforms only within the specified Broadcasting Territory and during the Broadcasting License Term.
Restrictions:
Use is strictly limited to incorporating the Font Software within the visual stream of the Licensed Broadcast Content itself. This license does not cover promotional or ancillary materials. For example, the following require separate licenses as appropriate: creating posters and merchandise (Desktop License), building a promotional website (Web License), or running a dynamic ad campaign (Digital Ad License).
Furthermore, this license does not grant the rights for other general uses that require a different license type. Prohibited uses include, but are not limited to:
- App Use: Developing a companion mobile game or informational app for the show, which requires an App License.
- Electronic Publication Use: Publishing a companion e-book or digital graphic novel for the series, which requires an Electronic Publication License.
- Server Use: Powering a web service that allows fans to generate custom content related to the show, which requires a Server License.
Any expansion of use beyond the specified scope (e.g., additional seasons, different territories, extended term) requires a new license or license upgrade. The Font Software files themselves may not be distributed or sublicensed.
10. Server License Terms
Provided Formats: [OTF, TTF, WOFF, WOFF2]
Term:
This Server License is a term-based license, granted solely for the Server License Term specified in the License Details section. Continued use requires the timely payment of a renewal fee. The license scope cannot be downgraded at renewal. Without a valid, current Server License Term, all rights granted under this section terminate.
Permitted Use:
This license allows the installation of the Font Software on the specified number of Production Servers. Its sole purpose is to enable end-users of the Licensee’s service to generate documents or personalized items where the font is rendered server-side (e.g., generating PDF invoices or creating customized product previews). Use on an unlimited number of non-public Development Servers for testing purposes is also permitted.
Restrictions:
The Font Software files must not be downloadable, extractable, or directly accessible by end-users. This license specifically excludes use in or for any Software-as-a-Service (SaaS), web application, or service where the primary value involves providing end-users with access to the Font Software for their own creative use (e.g., online design tools or customizable merchandise generators).
Furthermore, this license does not grant the rights for other uses that require a different license type. Prohibited uses include, but are not limited to:
- Desktop Use: Designing the user interface, branding, or marketing materials for your service, which requires a Desktop License.
- Web Use: Using the font to style the primary marketing website for your service, which requires a Web License.
- App Use: Building a mobile app client that interacts with your licensed server, which requires an App License.
- Digital Ad Use: Running a dynamic ad campaign to promote your service, which requires a Digital Ad License.
- Electronic Publication Use: Creating a downloadable PDF user guide or annual report for your service, which requires an Electronic Publication License.
- Broadcasting Use: Producing a TV commercial or other large-scale video production to advertise your service, which requires a Broadcasting License.
Use is strictly limited to installation on no more than the number of Production Servers specified in the License Details section.
11. Trial License Terms
Grant:
By downloading, installing, or using the Trial Font Software from Type Forward, you (the “User”) agree to be bound by the terms of this Trial License. This license is granted to you or your organization for temporary, internal evaluation purposes only.
Provided Formats: [OTF, TTF, WOFF, WOFF2]
Permitted Use:
The Trial Font Software is provided for the sole purpose of internal evaluation and testing to determine if it is suitable for your needs before purchasing a full license. Permitted uses are strictly limited to:
- Creating temporary, non-final design mockups and compositions for internal review.
- Showcasing design concepts to a single client for project approval (a “pitch”).
- Testing the webfonts on a non-public development or staging server.
Restrictions:
The Trial Font Software may not be used in any final, live, published, or publicly accessible project, whether for commercial or non-commercial purposes. A full, appropriate license must be purchased before the Font Software is used for any live project work.
Prohibited uses include, but are not limited to:
- Live Projects: Using the font in any project for a client that has been approved and is moving into production or final delivery.
- Published Works: Using the font in any final logos, branding packages, websites, applications, advertisements, publications, or merchandise.
- Public Distribution: Using the font in any file or work that will be made available to the public in any form (e.g., a student portfolio website, social media posts, templates).
Furthermore, the Trial Font Software files may not be distributed or shared with any third party. Modification, adaptation, or conversion of the font files is strictly prohibited.
12. Academic License Terms
Eligibility: This license is available only to the following qualified parties (“Academic Licensees”):
- Students: Individuals currently enrolled in a degree- or certificate-granting program at a recognized educational institution.
- Faculty: Teachers, instructors, and professors currently employed by a recognized educational institution.
- Academic Institutions: Recognized educational institutions (e.g., schools, universities, colleges) licensing the Font Software for installation on institution-owned computers.
Grant: Subject to the terms herein and verification of the Licensee’s status, the Licensor grants the Academic Licensee a temporary, non-exclusive, non-transferable license to use the Font Software for strictly non-commercial academic purposes as defined below.
Provided Formats: [OTF, TTF, WOFF, WOFF2]
Permitted Use: The permitted use depends on the type of Academic Licensee:
- For Individual Students and Faculty: Use is strictly limited to personal, non-commercial work directly related to learning, teaching, or academic research. This includes coursework, thesis projects, academic presentations, and non-commercial portfolio pieces clearly identified as academic work.
- For Academic Institutions: The Font Software may be installed on the number of institution-owned computers specified in the License Details section (e.g., in a computer lab or library). This installation is solely for use by the institution’s currently enrolled students and employed faculty, and only for the permitted uses described above.
Restrictions: All academic use must be strictly non-commercial. A full commercial license is required for any work that is not for a specific academic course or for any project that becomes commercial.
Prohibited uses for all Academic Licensees include, but are not limited to:
- Commercial Work: Any client projects (paid or unpaid), freelance work, or use for any business or commercial entity.
- Institutional Branding: Use in the general branding, marketing, administrative materials, or public-facing website of the Academic Institution itself. Such uses require a standard Desktop, Web, or other commercial license.
- Public Websites: Using the font on a public-facing website. A non-public, password-protected site for a class project is permissible, but a full Web License must be purchased before any such site goes live to the public.
- Distribution: Sharing, distributing, or sublicensing the Font Software files to any unauthorized third party.
Term and Termination: For individuals, the license terminates upon the conclusion of their student or faculty status. All Academic Licenses are subject to the Term specified in the License Details section. Upon expiration or termination, all copies of the Font Software must be deleted.
Verification: The Licensor may require proof of academic status at any time (e.g., a valid student/faculty ID or official documentation for an institution). Failure to provide proof may result in termination of this license grant.
13. Non-Profit Campaign License Terms
Grant:
Subject to the terms herein and verification of the Licensee’s status as a qualifying Non-Profit Organization (NPO), the Licensor grants the Licensee a non-exclusive, non-transferable license to use the Font Software for a specific, endorsed campaign.
Provided Formats: [OTF, TTF, WOFF, WOFF2]
Permitted Use:
Use is strictly limited to materials directly supporting and promoting the specific Licensed Campaign/Cause identified in the License Details section, as endorsed by the Licensor. This may include creating reports, flyers, social media graphics, videos, non-commercial short films, or documentaries directly about the licensed cause. The specific scope (e.g., “unlimited pageviews for campaign site”) and Term are defined in the License Details section.
Restrictions:
The use of the Font Software is strictly limited to the Licensed Campaign/Cause. Unless explicitly agreed upon, it may not be used for the Nonprofit Organization’s general branding, day-to-day administration, or other fundraising activities.
Furthermore, this license does not grant the rights for uses that fall outside the typical scope of a non-commercial campaign and may require a different license type. Prohibited uses include, but are not limited to:
- Commercial Broadcasting: Creating a film or television series intended for commercial theatrical release, traditional broadcast, or sale to a major streaming platform (e.g., Netflix). Non-commercial documentary or awareness films explicitly created for the campaign are permitted.
- App Use: Developing a general-purpose mobile app for the NPO that is not specific to the licensed campaign.
- Server Use: Creating a web service allowing supporters to generate customized materials.
- Commercial Activities: Use on any merchandise for sale or in connection with any commercial activities the NPO might engage in.
Third-Party Use and Term: Third parties (e.g., volunteer designers) may use the font files on the NPO’s behalf, but only for the licensed campaign; the NPO remains responsible for compliance. The license is valid only for the Term specified in the License Details section.
Verification: The Licensor reserves the right to verify the Licensee’s NPO status and to ensure Font Software usage remains strictly confined to the Licensed Campaign/Cause.
14. Other Licenses
Uses not explicitly covered by the licenses granted in this EULA require a separate, custom license agreement from Type Forward.
Examples of uses that require such a custom license include, but are not limited to:
- Editable Embedding: Embedding the Font Software into documents or files where the font data is editable by the recipient.
- OEM Distribution: Bundling the Font Software with hardware or software that is then resold (Original Equipment Manufacturer).
- Web/Software as a Service (SaaS): Use in any application or service that allows an end-user to select and use the Font Software to create their own customized designs (e.g., online design tools, customizable merchandise generators).
- Letterform Products: The creation and sale of products derived directly from the letterforms of the Font Software itself, such as alphabet stencils, house numbers, sticker sets, or digital letterform files.
- Hardware/Firmware Embedding: Embedding the Font Software directly into the firmware or operating system of a hardware device.
- File Modification: Any modification, adaptation, or alteration of the Font Software file itself.
Note that while basic, secure “preview and print” PDF embedding is permitted under the Desktop License, most other forms of embedding or distribution are not. If your intended use is not clearly permitted by this EULA, you must contact us at hello@typeforward.com for a custom license before proceeding.
15. Data Protection and Privacy
